We are currently seeking junior to mid-level Corporate Governance Attorneys to work with some of our publicly-traded/Fortune 500 clients across multiple industries.
Responsibilities:
Advise on corporate governance, securities, and public company compliance matters, including SEC and stock exchange requirements.
Support Board of Directors and committee activities, including preparing agendas, resolutions, minutes, and governance materials.
Draft and review SEC filings and corporate disclosures, including proxy statements, Forms 10-K/10-Q/8-K, and Section 16 filings.
Advise on governance policies, entity management, shareholder matters, and corporate transactions in partnership with legal and business teams.
